The following Terms and Conditions apply to and govern your use of SPACE.com and any services offered through SPACE.com, including forums, chat rooms, personal profile pages, article commenting, blogs, RSS and newsletters, among other offerings. (the "Services") Your use of SPACE.com and its Services signifies your agreement to be bound by these Terms and Conditions. You agree to use SPACE.com and its Services in a manner consistent with all applicable laws and regulations and in accordance with the Terms and Conditions outlined below and otherwise set forth on SPACE.com.

License to Use the Site

You are responsible for complying with all applicable laws, rules and regulations regarding your use of any such downloaded Site Material. Changes to Terms and Conditions

SPACE.com reserves the right, in its sole discretion, to change, modify, add or remove any portion of these Terms and Conditions, in whole or in part, at any time. Changes in these Terms and Conditions will be effective when posted. Your continued use of SPACE.com after any changes to these Terms and Conditions are posted will be considered acceptance of those changes. You acknowledge and agree that SPACE.com will not be liable to you or any third party in the event that SPACE.com exercises its right to modify or terminate access to any of SPACE.com.

Changes to SPACE.com

SPACE.com shall have the right for any reason, in its sole discretion, to terminate, change, suspend or discontinue any aspect of SPACE.com, including but not limited to the Site Material, Services features, or hours of availability. SPACE.com may also impose limits on certain features and services or restrict your access without notice or liability. You acknowledge and agree that SPACE.com will not be liable to you or any third party in the event that SPACE.com exercises its right to modify or terminate access.

Acceptable Use

You and other visitors to SPACE.com are invited to post appropriate and relevant information or commentary, including but not limited to, facts, advice, "tips" and opinions, in the forums available through SPACE.com. You acknowledge that the posted information may be viewed by you and/or other users of SPACE.com. By posting information, data, text, music, sound, photographs, graphics, video, messages or other materials ("Communications") on or through SPACE.com, you agree that you are solely responsible for such Communications and that you, and not SPACE.com, are entirely responsible for the accuracy, completeness and ownership of all Communications that you upload, post, email or otherwise transmit.

By using any of our Sites, you agree that you:

1. Will only use our SPACE.com and Services for lawful purposes and in accordance with these Terms and Conditions and with any applicable Community guidelines.
2. Accept the terms of our Privacy Policy.
3. Agree to provide us with accurate information in connection with any registration through SPACE.com and to take responsibility for the information you provide.
4. Acknowledge that we may be unable to process and shall have no responsibility to process transactions the accuracy of which we cannot validate.

Without limitation of the foregoing, you agree to not use SPACE.com or any Services to:

1. Upload, post, email or otherwise transmit any Communication that is unlawful, harmful, threatening, embarrassing, abusive, harassing, tortuous, defamatory, vulgar, obscene, libelous, deceptive, fraudulent, invasive of another's privacy, hateful, or sexually explicit.
2. "Stalk" another.
3. Upload, post, email or otherwise transmit any Communication that victimizes, harasses, degrades, or intimidates an individual or group of individuals on the basis of religion, gender, sexual orientation, race, national origin, ethnicity, age, socioeconomic status or disability.
4. Harm minors in any way.
5. Impersonate any person or entity, including but not limited to a SPACE.com official, forum leader, moderator, guide or host or falsely state or otherwise misrepresent your affiliation with a person or entity.
6. Forge headers or otherwise manipulate identifiers in order to disguise the origin of any Communication transmitted on, to or through our Site or any Services.
7. Upload, post, email or otherwise transmit any Communication that you do not have a right to transmit under any law or under contractual or fiduciary relationships (such as inside information, including but not limited to proprietary or confidential information learned or disclosed as part of employment relationships or otherwise barred from disclosure pursuant to the terms of a confidentiality agreement).
8. Upload, post, email or otherwise transmit any Communication that infringes any patent, trademark, trade secret, copyright or other rights of any party.
9. Upload, post, email or otherwise transmit (a) under any circumstances "junk mail," "spam," "chain letters," "pyramid schemes," or (b) any other form of solicitation, except in those areas which may be designated for such purpose.
10. Upload, post, email or otherwise transmit any material that contains software viruses or any computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment or any other similarly destructive activity.
11. Disrupt the normal flow of dialogue, cause a screen to "scroll" faster than other users of SPACE.com are able to type, or otherwise act in a manner that negatively affects other users' ability to engage in real time exchanges.
12. Interfere with or disrupt any of SPACE.com or servers or networks connected to SPACE.com, or disobey any requirements, procedures, policies or regulations of networks related to any Service.
13. Violate any applicable local, state, national or international law, including, but not limited to, regulations promulgated by the U.S. Securities and Exchange Commission, any rules of any national or other securities exchange, including, without limitation, the New York Stock Exchange, the American Stock Exchange or the NASDAQ, and any other regulations having the force of law.

You also agree that you will not harvest, collect or store information about the users of SPACE.com or communications posted by others on SPACE.com or use such information for any purpose, including without limitation, for the purpose of transmitting or facilitating transmission of unsolicited bulk electronic mail or communications.

You acknowledge and agree that SPACE.com may preserve Communications and may also disclose Communications if required to do so by law or in the good faith belief that such preservation or disclosure is reasonably necessary to: (a) comply with legal process; (b) enforce these Terms and Conditions and/or the Privacy Policy; (c) respond to claims that any Communication violates the rights of any third party; and/or (d) protect the rights, property, or personal safety of SPACE.com, its users and/or the public.

You understand that the technical processing and transmission of SPACE.com, including the display of Communications, may involve (a) transmissions over various networks; and (b) changes to conform and adapt to technical requirements of connecting networks or devices. SPACE.com assumes no responsibility for the deletion or failure to store postings or other information submitted by you or other users to SPACE.com.

Any Communication on any of SPACE.com may be purged periodically by SPACE.com, for any reason or no reason. You acknowledge and agree that any Communication you view or post is at your own discretion and risk, including any reliance on the accuracy, completeness, or usefulness of such Communication. In this regard, you acknowledge that you may not rely on any Site Material or other content appearing on SPACE.com. You further acknowledge and agree that the views expressed by you and other users do not necessarily reflect the views of SPACE.com, and that SPACE.com does not support or endorse any content or views posted by you or any user.

Monitoring, Editing and Disclosure of Communications

You agree that SPACE.com has the right, but not the obligation, to monitor Communications posted by you or others at any time for any reason and in its sole discretion to assure compliance with these Terms and Conditions and any other operating rules that SPACE.com may establish from time to time. Notwithstanding this right, SPACE.com does not and cannot review all Communications, and SPACE.com is not responsible for any Communications. SPACE.com reserves the right at all times to edit, disclose, refuse to post, request removal of, or remove any Communication as may be necessary to comply with any law, regulation or government or agency request or if, in SPACE.com's sole discretion, such Communication is in violation of these Terms and Conditions or is otherwise objectionable.

SPACE.com's Rights in Materials Provided by Users

SPACE.com welcomes your comments. However, any and all Communications provided by you to us may be included in a database owned by SPACE.com and its subsidiaries and affiliates, and in which we possess all rights and interest, including but not limited to, a compilation copyright. We reserve the right to use any Communication you provide to us, or any information or materials contained therein or that we otherwise obtain through your use of SPACE.com, to the fullest extent permitted by law.

By using SPACE.com, you grant to SPACE.com a perpetual, worldwide, irrevocable, unrestricted, non-exclusive, royalty-free license to use (including use for promotional and advertising purposes), copy, license, sublicense, adapt, distribute, display, publicly perform, reproduce, transmit, modify, edit and otherwise exploit any Communications that you post, and any ideas or original materials contained in such communications, in all media now known or hereafter developed. This grant shall include the right to exploit any and all proprietary rights in such Communications including, without limitation, any and all rights under copyright, trademark, service mark or patent laws under any relevant jurisdiction. You waive all rights you may have to inspect and/or approve of any use by SPACE.com of any material or idea submitted by you in any Communications, or receive any compensation for such use. You waive all rights to any claim against SPACE.com for any alleged or actual infringements of any proprietary rights, rights of privacy and publicity, moral rights, and rights of attribution in connection with such Communications. You agree and understand that SPACE.com is under no obligation to use any material or ideas submitted by you in any Communications in any way whatsoever.

No Responsibility for Transmitted Material

You acknowledge that transmissions to and from SPACE.com are not confidential, and to that extent your Communications may be read or intercepted by others. You acknowledge that by submitting Communications to SPACE.com, no confidential, fiduciary, contractually implied or other relationship is created between you and SPACE.com or any SPACE.com affiliate or subsidiary other than pursuant to these Terms and Conditions. SPACE.com shall not be responsible for the payment of any amounts to any party in connection with SPACE.com's use of Communications submitted by you.

Copyright Complaints

SPACE.com respects the intellectual property of others, and we ask our users to do the same. SPACE.com may, in appropriate circumstances and at its unfettered discretion, terminate the access of users, subscribers and account holders who infringe the intellectual property rights of others.

If you believe that your work has been copied and is accessible on SPACE.com, or any of the Services offered, in a way that constitutes copyright infringement, or that SPACE.com contains links or other references to another online location that contains material or activity that infringes your copyright rights, you may notify SPACE.com by providing the information required by the Online Copyright Infringement Liability Limitation Act of the Digital Millennium Copyright Act, 17 U.S.C. Indemnification

Passwords

General Provisions

These Terms and Conditions shall be governed by and construed in accordance with the laws of the State of New York, without regard to conflicts of laws provisions. The sole and exclusive jurisdiction for any action or proceeding arising out of or related to these Terms and Conditions, SPACE.com, or any Services shall be an appropriate State or Federal court located in New York County in the State of New York, and you hereby irrevocably consent to the jurisdiction of such courts. If for any reason a court of competent jurisdiction finds any provision of these Terms and Conditions, or portion thereof, to be unenforceable, that provision shall be enforced to the maximum extent permissible so as to give effect to the intent of these Terms and Conditions, and the remainder of these Terms and Conditions shall continue in full force and effect. The section headings used herein are for convenience only and shall not be given any legal import.

Acknowledgement

You acknowledge (a) that you have read and understood these Terms and Conditions; and (b) that these Terms and Conditions have the same force and effect as a signed agreement.
